Terms and Conditions

This Agreement ("Agreement") is made and entered into by and between: Kaye Kennedy, the Author ("Author"), and [Above Named] ("Participant").

1. Submission and Grant of Rights:

• 1.1 Submission: The Participant agrees to submit their real-life romance story ("Story") to the Author for potential inclusion in The Pillow Diaries Series ("Work").
• 1.2 Grant of Rights: The Participant grants the Author a perpetual, irrevocable, worldwide, exclusive license to use, adapt, edit, and reproduce the Story, in whole or in part, in any format or medium now known or hereafter developed, including but not limited to print, digital, audio, and film.

2. Compensation:

• 2.1 Consideration: In exchange for the submission and use of the Story, the Participant will receive one (1) e-book and, if applicable, one (1) print copy of the Work in which their Story is initially published. This constitutes full and complete compensation for the Participant's submission.
• 2.2 No Royalties: The Participant acknowledges and agrees that they are not entitled to any royalties, profits, or other compensation from the sale, distribution, or licensing of the Work, beyond the copies of the book provided under Section 2.1.

3. Creative License:

• 3.1 Artistic Freedom: The Participant acknowledges that the Author may alter, modify, or fictionalize the Story, including but not limited to changing names, events, dialogue, and plot details, to suit the narrative and creative needs of the Work.
• 3.2 No Right to Approval: The Participant agrees that they have no right to review or approve any changes made to the Story, nor the final version of the Work in which the Story is included.

4. Representations and Warranties:

• 4.1 Original Work: The Participant represents and warrants that the Story is their original work, and that they have the full right and authority to enter into this Agreement.
• 4.2 No Infringement: The Participant represents and warrants that the Story does not infringe on any third-party rights, including but not limited to copyright, trademark, privacy, or publicity rights.
• 4.3 Liability: After publication, if it is found that the Story is not the intellectual property of the Participant, then the Participant shall be held solely responsible in the event that legal action is taken, absolving the Author of any liability.

5. Limitation of Liability:

• 5.1 No Liability for Use: The Participant agrees to hold harmless and indemnify the Author from any and all claims, demands, or causes of action that may arise out of or relate to the use of the Story in the Work.
• 5.2 No Liability for Alterations: The Participant acknowledges and agrees that the Author is not liable for any modifications, alterations, or fictionalizations made to the Story.

6. Governing Law:

• 6.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the state of Florida, without regard to its conflict of law principles.
• 6.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in Florida, with each party bearing their own costs.

7. Miscellaneous:

• 7.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether oral or written.
• 7.2 Amendments: No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
• 7.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
